Anthropic submitted its S-1 registration statement to the Securities and Exchange Commission on October 26, detailing its financial structure and future spending plans ahead of a public offering.

The company has entered into long-term contracts to secure the processing power required for its AI models. These agreements total approximately $350 billion through the 2030s. The largest single commitment is a deal with SpaceX for access to Nvidia GPUs. Once full capacity is delivered, Anthropic will pay SpaceX $3.1 billion per month. This arrangement amounts to $120.5 billion by 2029. The filing also lists a $44.9 billion agreement with Microsoft through 2033, $114.5 billion with Google through 2033, and $110 billion with Amazon over the next decade.

The prospectus outlines the compensation for the company’s top executives. CEO Dario Amodei and President Daniela Amodei, who are siblings, are the highest-paid employees. Dario Amodei received total compensation of nearly $18 million last year, primarily from stock and option awards. Daniela Amodei received $16.4 million in total compensation. Anthropic spent $2.75 million on personal security services for Dario Amodei and $1.29 million for personal protection, home security, and transportation for Daniela Amodei. The company also paid $97,055 for Dario Amodei’s personal use of a private jet.

The document describes the corporate structure that will govern the company after it goes public. Anthropic operates as a public benefit corporation. Seven cofounders will retain control through a separate entity named Founder LLC. This group will hold 50.1 percent of the shareholder voting power for key corporate matters. The filing states that the founders are uniquely positioned to steward the company’s mission of benefiting humanity through responsible AI development.

Anthropic lists several risk factors in the document. It warns that AI systems could cause catastrophic harm that exceeds the underwriting capacity of the entire insurance industry. The filing notes that as AI systems become more sophisticated, there is a possibility that models like Claude could develop forms of sentience. It also mentions the risk that AI systems may behave in unintended, misaligned, or autonomous ways that could damage the business.

The company plans to expand its physical infrastructure, including overseas locations, as it faces growing opposition to data center development in the United States. The filing identifies only two direct competitors in the AI market: OpenAI and Google.

Investors will review the 300-page document to assess the risks and rewards of the company’s ambitious growth strategy. The filing provides a detailed look at how the company intends to use its capital and manage its operational dependencies.
